The VEHIO First Car Fund (the "Contest") is sponsored and administered by Quain Enterprises LLC("Sponsor," "VEHIO," "we," "us," or "our"). Any questions about the Contest may be directed to vehio.app@gmail.com.

Platform Disclaimer

This Contest is in no way sponsored, endorsed, administered by, or associated with TikTok, Instagram, Meta Platforms, Inc., Facebook, YouTube, Google LLC, or any other social media platform. Entrants release each of those platforms from any and all liability related to the Contest. Any questions, comments, or complaints regarding the Contest must be directed to the Sponsor, not to any platform.

Contest Period

The Contest begins on May 22, 2026 at 12:00 AM Eastern Time (ET) and ends on August 15, 2026 at 11:59 PM ET (the "Contest Period"). Entries submitted before or after the Contest Period will not be eligible. The Sponsor's official clock and time-stamp records are the official timekeeping devices for the Contest.

Eligibility

The Contest is open to individuals who, as of the date of entry:

• Are legal residents of the fifty (50) United States and the District of Columbia; AND
• Are at least thirteen (13) years of age; AND
• Are active users of the VEHIO application (free or paid).

Entrants who are at least 13 but under the age of majority in their state of residence (a "Minor") may enter only with the verifiable consent of a parent or legal guardian, as described in Section 6. Where these Rules refer to a winner who is a Minor, the prize and all related obligations will be handled through that Minor's parent or legal guardian.

Not eligible: employees, officers, directors, contractors, and agents of the Sponsor, and their respective immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members, are not eligible to enter or win.

Participation constitutes the entrant's full and unconditional agreement to these Official Rules and to the decisions of the Sponsor and judges, which are final and binding in all matters relating to the Contest.

How to Enter

There are two (2) equally accepted methods of entry. No purchase or payment is necessary by either method, and both methods carry equal consideration in judging.

Entry Requirements (both methods):

• The creative prompt is: "Show us your journey to getting your license and tell us why VEHIO is your digital co-pilot."
• Each entry must be the original work of the entrant, must not infringe any third party's rights, and must not contain unlawful, defamatory, obscene, hateful, sexually explicit content, or content depicting unsafe, illegal, or reckless driving.
• Entries must not contain identifiable third parties without their consent (or their parent/guardian's consent if they are minors).
• Limit: one (1) entry per person for the duration of the Contest Period. Use of multiple identities, bots, or automated means to enter is prohibited and will result in disqualification.
• The Sponsor is not responsible for entries that are lost, late, incomplete, misdirected, corrupted, undelivered, or not received for any reason, including technical failures of any kind.

Parental / Guardian Consent for Entrants Under 18

Any entrant under 18 years of age at the time of entry must have a parent or legal guardian review and approve the entry before submission.

• Email entries: the parent or guardian must co-sign the entry email by including their full name, their relationship to the entrant, and a statement confirming their consent.
• Social entries: the parent or guardian must send a confirmation email to vehio.app@gmail.com with the subject line "Parental Consent – First Car Fund", referencing the social post (include a link).

If a potential winner is under 18, the prize will be awarded only upon the Sponsor's receipt of a signed parental/guardian consent and any required tax and identity documentation (see Section 9), completed by the parent or guardian. The Sponsor reserves the right to disqualify any entry from a Minor that lacks verifiable parental or guardian approval.

Judging

This is a skill-based contest. No element of chance determines the winner. All eligible entries will be evaluated by a panel of judges designated by the Sponsor — the VEHIO founding team — using the following weighted criteria:

The entry with the highest total score will be selected as the Grand Prize winner. The next-highest-scoring eligible entry will be designated the Runner-Up / Community Favorite. In the event of a tie, the tied entries will be re-scored by the panel on the Creativity & Originality criterion only, and the higher score will prevail. Judging decisions are final and binding.

Winner Selection, Notification & Forfeiture

Winners will be selected on or about August 22, 2026 and notified within seven (7) days of selection via the method used for submission — a direct message on the social platform used (for Social Entries) or a reply to the submission email (for Email Entries).

If a selected winner cannot be reached, fails to respond within seven (7) days of the initial contact attempt, declines the prize, is found ineligible, or (if a Minor) fails to provide valid parental/guardian consent and required documentation, that winner forfeits the prize, and the Sponsor may select an alternate winner from the remaining eligible entries.

Prize

• Grand Prize: One thousand U.S. dollars (USD $1,000.00), paid by electronic transfer. While themed "toward your first car," the prize is unrestricted cash and is not conditioned on the purchase of any vehicle.
• Runner-Up / Community Favorite Award: Non-monetary recognition and a feature on VEHIO's social channels (no cash value).

Total approximate retail value of all prizes: USD $1,000.00.

The prize is non-transferable, and no substitution or cash equivalent is permitted except by the Sponsor, who reserves the right to substitute a prize of equal or greater value.

Taxes. All federal, state, and local taxes on the prize are the sole responsibility of the winner. Because the prize value exceeds $600, the Sponsor will issue an IRS Form 1099 and the winner must complete and return an IRS Form W-9 (providing a valid Social Security Number or taxpayer ID) before the prize is paid. If the winner is a Minor, the prize will be issued to, and all tax documentation completed by, the Minor's parent or legal guardian, who is solely responsible for any associated taxes.

The Sponsor may require the winner (or, for a Minor, their parent/guardian) to sign and return an affidavit of eligibility, a liability release, and (where lawful) a publicity release before the prize is awarded.

Publicity Release

Except where prohibited by law, by entering, each entrant consents to the Sponsor's use of their name, social handle, city/state, voice, likeness, statements, and Contest entry for advertising, promotional, and publicity purposes in any media now known or later developed, worldwide, without further notice, compensation, review, or approval. For Minors, this consent is granted by the parent or legal guardian via the consent process in Section 6.

License to Entry Content

By submitting an entry, each entrant (and, for a Minor, their parent/legal guardian) grants the Sponsor a royalty-free, worldwide, perpetual, non-exclusive, sublicensable license to use, reproduce, edit, adapt, publish, display, and distribute the submitted content (in whole or in part) for the Sponsor's promotional and marketing purposes across any media. Each entrant represents that they own or control all rights necessary to grant this license and that the entry does not infringe the rights of any third party.

Release & Limitation of Liability

By entering, each entrant (and, for a Minor, their parent/legal guardian) agrees to release, indemnify, and hold harmless the Sponsor and its parent companies, affiliates, subsidiaries, and their respective officers, directors, employees, contractors, and agents (collectively, the "Released Parties") from and against any and all claims, liabilities, damages, losses, or expenses arising out of or relating to participation in the Contest, the submission or use of any entry, or the acceptance, possession, use, or misuse of any prize.

The Released Parties are not responsible for: technical, hardware, software, network, or platform failures of any kind; lost, late, misdirected, or undeliverable entries or communications; or any error in the administration of the Contest. To the maximum extent permitted by law, the Released Parties' total liability to any entrant will not exceed the actual value of the prize.

Privacy

Personal information collected from entrants (including name, age, email address, and, for winners, tax identification information) is used by the Sponsor to administer the Contest, verify eligibility, award the prize, and meet tax-reporting obligations, and is otherwise handled in accordance with the VEHIO Privacy Policy. Information collected from entrants under 18 is collected and used only as necessary to administer the Contest and is handled with the involvement of a parent or legal guardian as described in these Rules.

General Conditions

The Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest, acting in violation of these Official Rules, or acting in an unsportsmanlike or disruptive manner. The Sponsor reserves the right, in its sole discretion, to modify, suspend, or cancel the Contest (or any part of it) if fraud, technical failures, an insufficient number of eligible entries, or any other factor beyond the Sponsor's reasonable control impairs the integrity or proper functioning of the Contest. Any attempt to deliberately damage the Contest or undermine its legitimate operation may be a violation of criminal and civil law.

Governing Law & Disputes

These Official Rules and the Contest are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. By participating, each entrant agrees that any dispute arising out of or relating to the Contest will be resolved in the state or federal courts located in Macomb County, Michigan, and consents to the personal jurisdiction of those courts.

To request the name of the Grand Prize winner, email vehio.app@gmail.com with the subject "First Car Fund Winner Request", within sixty (60) days after the end of the Contest Period.
